ARTICLE I
NAME
Cleveland Clinic Foundation House Staff Association (HSA)
ARTICLE II
PURPOSE
The House Staff Association is an Association of Residents, and Clinical and Research Fellows at the Cleveland Clinic Foundation. The purpose of the Association shall include the following:
- to promote the well-being and interests of the residents, clinical and research fellows, whether they be educational, financial, social, or other;
- to address specific concerns that shall be presented by each interdivisional member representative;
- to organize and advocate to improve the quality of patient care;
- to support continued education for residents and fellows;
- to advance the science of medicine via research and education; and
- to establish and maintain high medical and ethical standards in the practice of medicine, allied professional fields, and scientific research.
The President and the Executive Board of the House Staff Committee shall report to the Graduate Medical Education Council (GMEC), which is designed to monitor, evaluate and implement the programs of the professional trainees within the institution.
ARTICLE III
MEMBERSHIP
Section 1: Qualifications and Privileges of Membership:
The membership shall extend to all who hold an appointment as a resident, clinical and research fellow at the Cleveland Clinic Foundation. Members shall be entitled to all privileges of membership as provided in the Bylaws and Constitution of the House Staff Association, including the option to attend at regular and special meetings of the Association, the right to hold office, and to serve as a chairperson or a member of any subcommittee of the Association.
Section 2: Resignation or Termination of Membership
Membership shall be terminated upon completion, transfer or dismissal from CCF training programs.
ARTICLE IV
OFFICERS
The officers of the Association shall form a House Staff Committee (HSC) composed of a President, Vice President, Treasurer, Delegate to the AMA Resident and Fellow Section, and Representatives from each division of the training programs at the Cleveland Clinic Foundation. The officers shall be elected by the June monthly meeting of the academic year. All officers shall hold their office for at least one year and may be re-elected. Any officer who fails to attend 50% of the regular HSC meetings will be considered to have resigned. Vacancy will be filled by selection of another member by the HSC at the earliest possible time. An officer may resign at any time by giving a written notice to the President or the Director of Graduate Medical Education. Such a resignation shall not require a formal acceptance and shall take effect on the date of receipt or on the date specified in the notice.
An Executive Board of the Association includes the President, Vice President, and two Representatives that are selected from the House Staff Committee. The Executive Board serves as a Liaison to the Graduate Medical Education Administration (GMEA). The Board shall report at least twice yearly to the GMEA regarding the progress of ongoing projects of the House Staff Committee.
President:
- presides at all meetings of the Association, is the chairperson of the House Staff Committee, and is an ex officio member of all committees;
- shall have general authority over the day to day activities and operation of the control of the House Staff Committee;
- serves as a representative of the House Staff Committee to the Graduate Medical Education Council (GMEC) as an equal voting member on that Council;
- is a member of the Alumni Association Board of Directors and is a voting member of that organization;
- with the approval of GMEA and the Executive Board, may employ and discharge administrative, technical, professional (including attorneys or accountants), and other employees as may be required. He or she, with the approval of the Executive Board, shall fix the salaries, wages, or fees of all such persons.
- shall have the authority to create subcommittees and call for special meetings as deemed necessary;
- shall have the power to authorize the expenditure of funds as set forth in the approved budget or the use of the property of the Association for the effectuation of any project of the Association; and
- shall compose and/or edit the monthly HSA newsletter, and serves as a Liaison between the House Staff Association and the House Staff Spouse Association.
Vice President:
- shall preside in the absence of the President and shall perform such other duties as may from time to time assigned to him or her by the House Staff Committee or the President;
- serves as a representative of the House Staff Committee to the Graduate Medical Education Council (GMEC) as an equal voting member on that Council; and
- shall assist in composing and/or editing the monthly HSA newsletter, and assist in organizing the monthly HSA meeting.
Treasurer:
- shall report to the House Staff Committee regarding the financial status of the Association at each regular meeting;
- shall audit and require proper vouchers for reimbursement of funds;
- shall, whenever so required by the House Staff Committee, render a detailed statement showing the transactions and the financial condition of the Association;
- shall discharge such other duties as may from time to time be assigned to him or her by the President or by the House Staff Committee; and
- shall provide an annual report to the Association.
For the faithful performance of their duties, the officers shall receive a monthly stipend. These stipend amounts are fixed by the GMEC. Any proposal for adjustment of the stipends shall be proposed to the GMEC for review and approval.
Chairperson of Standing/Special Subcommittee:
- shall be responsible for the effective discharge of all functions assigned to their respective subcommittees under Article V.
Representatives: To ensure broad representation of the trainees at the Cleveland Clinic Foundation, there shall be, at the minimum, one representative from each of nine separate clinical divisions and research.
- shall be selected by the respective divisions and the HSC;
- are expected to attend and participate in each monthly meeting of the HSC;
- in the event that a representative is unable to attend, he or she may appoint another person to attend in their absence; and
- shall assist in the dissemination of information from the HSC meetings to the respective divisions, and serve as a voice from their represented divisions.
Delegate to the American Medical Association-Resident and Fellow Section :
- shall represent the Association to attend and participate in the annual AMA meeting;
- shall be selected by the HSC; and
- shall serve as a Liaison to the AMA-RFS and report to the House Staff Committee in reference to particular ongoing issues of importance to the members of the Association.
ARTICLE V
SUBCOMMITTEES
The President shall appoint the chairperson of all subcommittees, regardless of whether they are standing or special subcommittees. Except as otherwise provided in the Bylaws, with the assistance of the chairperson of each subcommittee, the President shall appoint and fix the number of the members of each subcommittee.
ARTICLE VI
FEES
The membership is at no cost, and shall extend to all who hold an appointment as a resident, clinical or research fellow at the Cleveland Clinic Foundation.
ARTICLE VII
MEETINGS OF THE HOUSE STAFF COMMITTEE
Section 1. Regular Monthly Meetings and Special Meetings
All meetings of the House Staff Association are open to the members. Meetings are held once each month at a specified time and place as may be determined by the President. Notice thereof shall be mailed to the members not less than seven (7) days prior to the date of such meeting. Additional special meetings may be scheduled by the President, and notice of the time and place thereof shall be mailed to the members not less than three (3) days prior to such a scheduled meeting.
Section 2. Quorum
Fifty-one percent (51%) of the voting members of the House Staff Committee shall constitute a quorum for the transaction of business at any meeting of the Association.
Section 3. Conduct of Meetings
All meetings of the Association shall be conducted in accordance with the protocol as established by the House Staff Committee.
Section 4. Agenda
The suggested order of business at all regular meetings of the Association shall be as follows:

ARTICLE VIII
AMENDMENTS
The proposed amendments must be presented in writing to the House Staff Committee at least forty-five (45) days prior to the said meeting at which the proposed amendments are to be voted upon. The House Staff Committee shall notify members by mail of the proposed amendments not less than thirty days (30) prior to the meeting. Amendments to these Bylaws may be made at the meeting by an affirmative vote of two-thirds (2/3) of the entire House Staff Committee.
Such amendments so adopted shall not be contrary to requirements for the HSA status as defined by the Graduate Medical Education Council (GMEC) at CCF. This conformity shall be established by forwarding copies of the proposed amendments to the Graduate Medical Education Council. Such amendments shall be added to the Bylaws and Constitution of the House Staff Association upon approval by the House Staff Committee and the Graduate Medical Education Council.
ARTICLE IX
EFFECTIVE DATE
The effective date of these Bylaws and Constitution is March 1st, 2004. These Bylaws and Constitution supercede all prior Bylaws of the House Staff Association.
